Our governance framework is rooted in five foundational values that guide all strategic decision-making and field operations.

Maintaining open access to financial disclosures, audited accounts, project evaluations, and organizational governance structures.

Ensuring equal representation, gender equity, youth empowerment, and active involvement of marginalized community members.

Embedding long-term environmental viability, climate resilience, and community self-reliance into every project design.
5. Community Participation
Grounding decision-making in bottom-up grassroots consultations where affected communities guide priority planning and execution.
Management & Governance Structure
Organized in accordance with our ToR, our governance structure enforces clean separation between policy oversight and daily operations.
General Body (GB)
Supreme Policy & Review Body
The General Body consists of distinguished environmentalists, development practitioners, academics, and legal experts. Meeting annually, the GB approves institutional policies, reviews strategic milestones, and ratifies audited financial statements.
Executive Board (EB)
Strategic Direction & Fiduciary Governance
Elected by the General Body, the Executive Board provides governance oversight, financial monitoring, policy formation, and risk management. Operating in a non-executive capacity, the EB ensures regulatory compliance and institutional integrity.
Advisory Council
Technical Expertise & Innovation
Comprising renowned climate scientists, water resource management specialists, gender rights advocates, and policy analysts. The council offers technical guidance and peer-reviews research.
Executive Secretariat
Program Execution & Operations
Led by the Executive Director, the Secretariat manages daily administrative, operational, financial, and field activities. It executes Board-approved programs across field offices in Bangladesh.
Policies & Safeguards
Institutional policies enforced across all regional programs and field offices.
Anti-Corruption & Fraud
Strict zero-tolerance policy against bribery or extortion with mandatory dual-signature financial controls.
Safeguarding & PSEA
Protection measures ensuring safety for vulnerable adults, women, and children across all field locations.
Gender Equality (GESI)
Guidelines guaranteeing gender parity in hiring, leadership, and beneficiary program selection.
Whistleblower & Ethics Reporting
We provide secure, confidential channels to report any unethical conduct or policy breaches directly to our governance committee.
